These General Terms of Sale (GTS) apply to sales to businesses. They do not apply to consumers or to natural persons concluding a contract directly related to their business activity that is not of a professional nature for them.

1. Scope

The GTS set out the rules for the sale of HELK DESIGN products in professional trade, including to workshops, tuning studios, dealers and trade partners.

2. Orders and conclusion of the contract

Orders are placed in documentary form, including by e-mail or through the partner panel.
The contract is concluded when HELK DESIGN confirms acceptance of the order.
Lead times are indicative and count from the order confirmation and the advance payment, if one is required.

3. Prices and payments

Partner prices are agreed individually and are confidential.
The standard form of settlement is prepayment; deferred payment terms require a separate agreement.
In case of delay HELK DESIGN may charge statutory interest for late payment in commercial transactions and suspend the fulfilment of further orders.

4. Delivery and passing of risk

The risk of loss of or damage to the goods passes to the Buyer when the goods are handed over to the carrier. The Buyer is obliged to inspect the shipment on receipt and report shortages or transport damage without delay, no later than within 3 working days.

5. Warranty and complaints

In professional trade, liability under the statutory warranty is limited to the extent permitted by law.
Complaints must be submitted in documentary form together with photo documentation and the order number.
Complaints about fit are not accepted once permanent work on the Product has started.

6. Limitation of liability

To the extent permitted by law, HELK DESIGN’s liability towards the Buyer is limited to the value of the order to which the claim relates and does not cover lost profits, downtime or indirect damage.

7. Resale and presentation standards

The Partner undertakes to present the Products in line with the materials provided by HELK DESIGN.
Use of HELK DESIGN trademarks and photographic materials requires keeping their integrity.
The Partner may not present the Products as its own products.

8. Governing law and disputes

The GTS are governed by Polish law. Disputes are settled by the court competent for the registered office of HELK DESIGN.
